Acceptance of these terms
These Terms of Service (“Terms”) apply to access to and use of the website at www.kosmosbusinessconsulting.com, including its public pages and forms (the “Website”). “KOSMOS”, “we” and “our” refer to Kosmos Consultation Commerciale Inc., also named Kosmos Business Consulting Inc. in English, operating under the KOSMOS brand. “You” means a person visiting or using the Website.
By using the Website, you are asked to comply with these Terms to the extent that they lawfully apply. If you do not agree, please stop using the Website. Your rights under mandatory law remain in place, and merely visiting a page does not replace any express agreement or language choice required by law.
These Terms concern the Website only. Our Privacy Policy and Cookie Policy explain the handling of personal information and cookies. Please review those documents as well. Where applicable law requires that terms or related documents be specifically brought to your attention, we will take the steps required by that law.
About KOSMOS and this website
Kosmos Consultation Commerciale Inc. (English name: Kosmos Business Consulting Inc.), operating under the KOSMOS brand, is an execution partner for technology initiatives, based in Canada and working with organizations across Canada and the United States.
Our services include Project and Program Delivery, PMO Setup and Delivery Capability, and Recovery and Turnaround. We work with business clients rather than offering consumer services through this Website.
The Website is primarily informational. It may feature service descriptions, case studies, articles, insights and resources. It also provides a contact form for organizations and a professional introduction form through which delivery professionals may submit information and a portfolio.
The Website does not offer user accounts, online payments, a store or public comments. We may add, revise or remove material and features as our business develops. We do not undertake to maintain any particular page or feature indefinitely.
We were incorporated in Québec under the Business Corporations Act (Québec), CQLR c. S-31.1, on 15 September 2022. Our Québec enterprise number (NEQ) is 1177998383. Our registered address is 303-1600 av. Victoria, Longueuil (Québec) J4V 1M2, Canada.
No engagement or professional advice
The Website is not a consulting contract, proposal, offer, guarantee of results or advice tailored to your situation. Descriptions of our services explain our general capabilities. They do not commit KOSMOS to deliver specific work, meet a particular timeline or achieve a stated outcome for any visitor.
Each consulting engagement is governed by its own separate signed agreement, which may include a master services agreement, statement of work or another written contract. That agreement, not these Website Terms, defines the agreed scope, fees, responsibilities, deliverables, risks and other commercial arrangements.
Sending an inquiry, requesting a conversation, downloading publicly offered material or receiving an initial reply does not create a client relationship, an obligation to provide services or an obligation on either side to proceed. Do not make an important commercial, legal, financial, security or technical decision based only on general Website content. Seek advice that considers your actual circumstances.
Use of the website
You may access and read public pages, share permitted links and use our forms for genuine business inquiries or professional introductions. Please use the Website lawfully, respectfully and in a way that does not affect other visitors or the security of our systems.
You must not:
- Scrape, harvest, systematically extract or use automated tools to access Website content without our prior written permission, except where applicable law expressly permits the activity;
- Probe, scan, test or attempt to bypass Website security without written authorization;
- Interfere with the Website, its hosting, its forms or services such as Google reCAPTCHA;
- Upload or transmit malware, harmful code, deceptive files or material intended to disrupt systems;
- Impersonate KOSMOS, a client, a professional or another person, or misrepresent your authority or affiliation;
- Send spam, unlawful material, false information or misleading inquiries through any form;
- Attempt to gain unauthorized access to nonpublic areas, information or accounts; or
- Use the Website to infringe intellectual property, privacy or other legal rights.
We may restrict access, block abusive activity or decline a submission where reasonably necessary to protect the Website, our visitors or our legal rights. Nothing in this section authorizes intrusive security research or automated collection merely because material is publicly accessible.
No additional KOSMOS-specific restrictions apply beyond those stated above at this time.
Information you submit
If you send information through the Website, please make sure it is accurate, relevant and provided in good faith. You must have the right and any necessary permission to share documents, names, contact details and other material included in your submission.
Do not send confidential client documents, trade secrets, privileged communications, protected personal information about third parties or material subject to a nondisclosure obligation unless we have expressly agreed in writing to receive it through an appropriate channel. A Website form is not a secure project document exchange.
You retain the rights you hold in material you submit. You give KOSMOS limited permission to receive, store, review, reproduce internally and respond to the submission for the purpose for which you sent it, subject to applicable privacy law and our Privacy Policy. This permission does not transfer ownership of your material to KOSMOS.
Unsolicited suggestions or ideas do not create a duty to evaluate, compensate for or adopt them. We do not intentionally seek proprietary concepts through our general Website forms. If you wish to propose a confidential collaboration or disclose a proprietary idea, please contact us first to discuss an appropriate written arrangement.
Personal information submitted through the Website is handled according to our Privacy Policy. Cookies and related technologies are addressed in our Cookie Policy.
Delivery professional submissions
The professional introduction form is an opportunity for experienced Project Managers, Program Managers, PMO leaders and other relevant delivery professionals to introduce themselves to KOSMOS. It is not necessarily an application for employment or an offer of a position.
A submission does not create an employment relationship, contractor relationship, agency relationship or promise of an interview, response, assignment or paid engagement. KOSMOS may review submissions based on its business needs and may decide not to proceed or respond.
Please share only information and portfolio examples that you are entitled to disclose. Remove or anonymize confidential client details, protected personal information and third party intellectual property unless you have clear permission to share them.
If we explore a professional working relationship, the applicable arrangements will be discussed separately and documented as required.
Intellectual property
Unless clearly stated otherwise, the content and presentation of the Website are owned by KOSMOS or used with permission from their owners. This includes text, service descriptions, articles, case studies, layouts, logos, the KOSMOS name and visual identity, icons, graphics, imagery and descriptions of the KOSMOS Execution System and our methodology.
We grant you a limited, nonexclusive, nontransferable permission to access and view publicly available Website content for lawful informational purposes and to evaluate our services internally. This does not give you ownership of any content or permission to publish, sell, license or exploit it commercially.
Except as allowed by applicable law or our written permission, you must not copy substantial portions of the Website, redistribute our materials, reproduce our visual identity, present our pages within another website through framing or misleading embedding, or use Website content as a dataset to train, fine tune or evaluate an artificial intelligence model.
You may link to public pages of the Website and quote brief excerpts with appropriate attribution and a link to the original page, provided you do not suggest endorsement, reproduce substantial content or present excerpts misleadingly. Statutory rights and exceptions under copyright law are not reduced by this provision.
Names, slogans and other brand elements may be protected as trademarks or other intellectual property whether or not registered. We do not claim that KOSMOS, DONE / RIGHT, Human-Led. Technology-Amplified. or the KOSMOS Execution System are registered trademarks. This does not waive any unregistered trademark, copyright or other rights that may apply. Do not use them in a way that suggests an endorsement or affiliation without written approval.
If you believe material on the Website infringes your rights, contact us using the details below and identify the relevant page, the material and the basis of your concern.
Case studies, testimonials and examples
Case studies, diagrams, testimonials and other examples describe selected engagements, approaches or professional experience. They are provided to explain the nature of our work and do not guarantee that another organization will achieve the same outcome.
Every initiative has its own scope, resources, dependencies, decisions and circumstances. Results will depend on the actual engagement and on factors that KOSMOS may not control. Examples are not promises about timing, cost savings, technical performance, regulatory compliance or future results.
We may withhold or generalize client names, figures and project details to respect confidentiality. We identify clients or publish client testimonials only where we have the appropriate permission. Illustrations and summaries may omit details that are not necessary to explain the work.
Third party services and links
The Website may contain links to websites and services that KOSMOS does not operate, including Google, LinkedIn and other providers. It may also use third party technology such as Google reCAPTCHA v3, an optional Google Maps embed and, where consent is required and obtained, Google Analytics through Google Tag Manager.
These providers may have their own terms and privacy notices. Their services may change, be unavailable or operate differently depending on your device or location. KOSMOS does not control independent third party websites, and linking to them does not mean we endorse their products or statements.
We are not responsible for third party content or practices except to the extent that applicable law makes us responsible. Please review the relevant provider’s terms before using its services. Details about personal information and cookies appear in our Privacy Policy and Cookie Policy.
Accessibility
We want the Website and the information it provides to be usable by as many people as possible. We aim to align the Website with the Web Content Accessibility Guidelines (WCAG) 2.2 Level AA and to improve accessibility as the Website evolves. This is a continuing goal, not a representation that every feature is free of barriers at all times.
If you have difficulty using a page, form or document, or need information in another accessible format, please contact [email protected]. Tell us which page or material you need and what would help you access it. We will review the request and respond within a reasonable time, taking applicable accessibility obligations into account.
Disclaimers
The Website and its general information are provided on an “as is” and “as available” basis, subject to your rights under applicable law. We make reasonable efforts to keep public information useful and current, but technology, market conditions, project circumstances and our services may change.
We do not promise that every statement will remain complete, error free or suitable for a particular purpose. We also do not promise that the Website will be accessible without interruption or free from all technical defects. We may correct, update or withdraw content without notice where appropriate.
Any disclaimer in these Terms applies only to the extent permitted by law. It does not remove a right or remedy that cannot lawfully be excluded, including rights arising from intentional or gross fault or from bodily or moral injury under the Civil Code of Québec where applicable.
Limitation of liability
These Terms are intended to allocate risks reasonably for a free, informational Website. They do not govern liabilities arising from a separate consulting agreement, which will be addressed by that agreement.
To the extent permitted by applicable law, KOSMOS is not responsible for loss caused by a visitor’s unauthorized or unlawful use of the Website, by reliance on general Website information instead of situation specific advice, or by the acts or systems of independent third parties for which KOSMOS is not legally responsible.
Where the law permits a limitation, KOSMOS does not accept responsibility for indirect or unforeseeable business losses resulting solely from the use or unavailability of the informational Website, such as speculative lost opportunities, subject to the nature of the fault and any legal duty owed. This provision must not be read as a blanket exclusion of liability.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. In particular, where Québec law applies, this includes material injury caused by intentional or gross fault and bodily or moral injury, consistent with article 1474 of the Civil Code of Québec. Other mandatory laws may provide additional protections.
Indemnity
If your breach of these Terms or unlawful misuse of the Website causes KOSMOS a direct and reasonably documented loss, you agree, to the extent permitted by law, to reimburse the reasonable costs of addressing that loss, including reasonable legal costs where recoverable by law.
This obligation is limited to loss fairly attributable to your conduct. It does not apply to loss caused by KOSMOS’s own fault, nor does it take away any defence or protection available under applicable law. We will take reasonable steps to limit avoidable loss and will not settle a claim on your behalf without appropriate consultation.
Governing law and jurisdiction
Subject to mandatory rules that apply based on your location and the nature of a dispute, these Terms are governed by the laws of Québec and the federal laws of Canada applicable there.
Subject to any mandatory rules that require a different court or forum, disputes relating solely to these Website Terms may be brought before the courts located in Montréal, Québec. Nothing in this section removes a right to bring a claim in another court where applicable law gives you that right.
Any dispute arising from an actual consulting engagement will instead be governed by the dispute provisions in the separate signed agreement for that engagement.
Changes to these terms
We may update these Terms as the Website, our business or legal requirements change. When we do, we will publish the revised text on this page and update the “Last updated” date.
Changes apply from the date stated in the revised version and do not retroactively remove rights that have already arisen. If a change requires express notice or consent under applicable law, we will provide it or obtain it as required. Please check this page occasionally if you continue to use the Website.
General
Severability. If a court finds one provision invalid or unenforceable, the remaining provisions continue to apply so far as the law allows and the overall purpose of these Terms can still be respected.
No waiver. If we do not enforce a provision on one occasion, we do not automatically give up the right to enforce it later, subject to applicable law.
Entire agreement for Website use. These Terms address use of the informational Website only. They do not replace a signed consulting agreement or any mandatory legal protection. Where a signed consulting agreement conflicts with these Terms in relation to the services covered by that agreement, the signed agreement governs those services.
Assignment. We may transfer responsibility for these Website Terms as part of a legitimate corporate reorganization or business transfer where permitted by law and without removing mandatory rights you hold. You may not transfer rights arising from these Terms in a way that interferes with our intellectual property or Website security.
Language. Rights under the Charter of the French Language and other mandatory language laws remain unaffected. Where Québec law requires a French version of these Terms to be provided first, we will make that version available and follow any required process for an express choice to be bound by the English version. Simply visiting this English page does not by itself establish an express choice of language.
